Managing Legal & Compliance Counsel – Hybrid in Dallas, TX Bluebeam Office

We are seeking a Managing Legal & Compliance Counsel, who is a senior, business-minded commercial legal leader to support and scale our global go-to-market organization. This role will lead a team of attorneys, serve as a trusted advisor to Sales and other GTM leaders, and personally handle high-impact commercial, privacy, and strategic matters. The ideal candidate combines strong SaaS commercial experience with a pragmatic, solutions-oriented approach and the ability to operate independently in a fast-paced, global environment.

 

What You’ll Do:

 

Legal Leadership & Team Development

  • Lead, mentor, and develop a team of attorneys and a paralegal through effective prioritization, workload management, and performance feedback.
  • Establish team goals, metrics, and workflows that support sales velocity, contract quality, and risk management.
  • Foster a collaborative, business-focused legal culture grounded in practical, solution-oriented advice.

 

Business Partnership & Commercial Strategy

  • Serve as the primary legal partner to senior GTM leaders across Sales, Customer Success, Marketing, and Partnerships.
  • Advise on deal structure, pricing mechanics, and commercial risk tradeoffs to enable scalable SaaS offerings.
  • Operate autonomously while escalating novel, strategic, or high-risk issues to senior leadership as needed.

 

Commercial & Individual Contributor Work

  • Draft, review, and negotiate high-impact and strategic agreements, including enterprise SaaS contracts, MSAs, SOWs, SLAs, channel agreements, and complex NDAs.
  • Lead negotiations on priority customer and vendor deals, including escalated matters involving liability, data use, and regulatory risk.
  • Support complex intercompany and global agreements in partnership with Finance, Tax, and other corporate teams.

 

Privacy, Product & Regulatory

  • Lead the legal function’s approach to privacy and data protection in commercial contracts, including GDPR, CCPA/CPRA, cross-border data transfers, and security obligations.
  • Own DPA strategy, including templates, fallback positions, escalation criteria, and related transfer mechanisms.
  • Partner with Security, Product, and Engineering on customer security reviews, privacy responses, and deal-impacting questionnaires.
  • Monitor relevant privacy and AI regulatory developments and translate them into practical guidance and contractual updates.

 

Employee Relations & Compliance

  • Oversee internal investigations and legal disputes, partnering closely with the People team and external counsel as needed.
  • Support and develop employee-related policies, including the employee handbook and sales incentive plans.
  • Manage compliance reporting and coordination with the Nemetschek Group.

 

Enterprise & Global Initiatives

  • Lead updates to standard templates, including online terms, SaaS subscription agreements, and DPAs.
  • Design and implement scalable contracting tools and processes such as playbooks, clause libraries, and self-service templates.
  • Support global commercial initiatives by working with regional teams and adapting contracts to local requirements.
  • Deliver training to GTM and cross-functional teams on templates, fallback positions, and issue escalation.
  • Execute Nemetschek Group initiatives, projects, and policies.

 

Operational Excellence

  • Drive continuous improvement in response times, deal cycle efficiency, and stakeholder satisfaction using metrics and feedback.

 

What we’d like to see in you:

  • J.D. from an accredited law school and active membership Texas state bar.
  • 7+ years of experience as a commercial / technology transactions attorney, with significant SaaS and software licensing background; prior in-house experience strongly preferred.
  • Demonstrated experience managing or leading attorneys and legal staff, including coaching, delegation, and performance management.
  • Deep experience drafting and negotiating enterprise SaaS agreements, DPAs, and vendor contracts, including direct interaction with customer and vendor counsel.
  • Strong working knowledge of CCPA/CPRA and GDPR in a commercial contracting context; experience with cross border data transfer mechanisms preferred.
  • Exposure to global contracting or multi-jurisdictional deals; familiarity with AI related legal and regulatory issues is a plus.
  • Excellent drafting, negotiation, and communication skills, with a track record of partnering effectively with Sales and cross functional teams to close complex, time sensitive deals.
  • Proven ability to balance individual contributor responsibilities with people management duties, managing workload and priorities across the team while modeling sound judgment and escalation discipline.

Base pay offered will depend upon qualifications and other operational considerations. Base pay is one part of Bluebeam’s Total Rewards program, which seeks to compensate and recognize employees for their work. Most sales positions are eligible for commission under the terms of an applicable commission plan, while most non-sales position are eligible for a bonus under the terms of an applicable bonus plan. The base pay range for this position is: $218,000 - $272,000 + Annual Bonus Incentive
