We’re looking for a Commercial Transactions Attorney to join our Legal & Compliance team, reporting to the Managing Legal & Compliance Counsel, supporting Bluebeam’s growing SaaS business. This role will partner closely with Sales, Finance, Product, InfoSec, and other cross-functional teams to structure, negotiate, and close complex commercial transactions while balancing risk and enabling scale.

 

What You’ll Do:

  • Draft, review, and negotiate a broad range of commercial agreements, including enterprise SaaS subscriptions, software licenses, professional services agreements, NDAs, and channel/partner agreements.
  • Lead negotiations of customer-facing agreements such as MSAs, order forms, SOWs, SLAs, and DPAs, with a strong focus on SaaS and cloud offerings.
  • Structure and negotiate vendor and technology procurement agreements, including cloud services, data providers, consulting, and other third-party services.
  • Build, maintain, and continuously improve contract templates, fallback provisions, playbooks, and self-service tools for recurring commercial scenarios.
  • Advise on data privacy and security issues impacting commercial deals, including CCPA/CPRA, GDPR, cross-border data transfers, and data security addenda.
  • Draft, negotiate, and manage DPAs, SCCs, and other data transfer mechanisms and related privacy and security schedules.
  • Partner with cross-functional deal teams (Sales, Finance, InfoSec, Product) to triage issues, align on risk positions, and drive deals to timely close.
  • Provide practical guidance on deal structure, pricing models, and commercial risk allocation to support scalable, customer-centric SaaS offerings.
  • Lead or support enterprise-level initiatives such as refreshing standard online terms, updating global contracting frameworks, and rolling out new templates or legal positions.
  • Draft and manage intercompany agreements related to IP, services, and cost allocations in collaboration with Finance and Tax.
  • Monitor and share trends in privacy and emerging AI regulations as they relate to Bluebeam’s products, data use, and commercial terms (experience strongly preferred but not required).
  • Deliver clear, business-oriented guidance and training to revenue and operations teams on contracting processes, playbooks, and risk tradeoffs.
  • Work autonomously in a fast-paced environment while appropriately escalating novel, high-risk, or cross-functional issues to senior stakeholders.

 

What You’ll Bring:

  • J.D. from an accredited law school and active membership in good standing with at least one U.S. state bar.
  • 5+ years of experience as a commercial or technology transactions attorney, with significant SaaS or software licensing experience (law firm and/or in-house).
  • Demonstrated experience drafting and negotiating enterprise SaaS agreements and DPAs, including working directly with customer and vendor counsel.
  • Strong working knowledge of CCPA/CPRA and GDPR in the context of commercial contracting; experience with cross-border data transfers is a plus.
  • Experience supporting global commercial deals or working with international stakeholders preferred.
  • Familiarity with emerging AI legal and regulatory issues impacting SaaS, data, or product features is a plus.
  • Proven ability to partner effectively with Sales and cross-functional teams to close complex or high-value deals under tight timelines.
  • Excellent drafting, negotiation, and communication skills, with the ability to translate complex legal issues into practical, actionable guidance.
  • Ability to operate independently, manage a high volume of matters, and exercise sound judgment about when to escalate or seek additional input.

Base pay offered will depend upon qualifications and other operational considerations. Base pay is one part of Bluebeam’s Total Rewards program, which seeks to compensate and recognize employees for their work. Most sales positions are eligible for commission under the terms of an applicable commission plan, while most non-sales positions are eligible for a bonus under the terms of an applicable bonus plan. Salary Range: $140,000 - $160,000 + Annual bonus incentive
